Terms of Service
These Terms govern your use of Numinous Cloud (the “Service”), operated by Numinous Technology (“Numinous”, “we”). By creating an account or using the Service you agree to these Terms.
1. The Service
Numinous Cloud provides sandboxed compute environments booted from templates, along with related APIs, storage, and GPU compute sourced from third-party providers. We may change or discontinue features with reasonable notice.
2. Accounts and organizations
You are responsible for activity under your account and API keys, and for keeping keys secret. Organizations may have multiple members; an organization owner controls membership and is responsible for the organization’s usage. Notify us promptly of any unauthorized use.
3. Prepaid credits and billing
- The Service is prepaid only. You load credits in advance; usage is metered per second against your balance at the rates published at cloud.numinous.technology.
- Credits expire 12 months after purchase. Within an account, usage draws down the oldest credits first. Any credit balance remaining on a lot at its 12-month expiry is forfeited.
- Credits are not currency, carry no cash value, are non-transferable, and are non-refundable except where required by law. Payment is processed by Stripe; we do not store card numbers.
- Compute time lost to a fault on our side, or on a provider we source from, is not billed and is credited back automatically where charged.
4. Acceptable use
You agree not to use the Service to:
- break the law, infringe others’ rights, or violate third-party terms;
- attack, probe, or attempt to escape the sandbox boundary, reach other tenants, or access our or our providers’ infrastructure or credentials;
- run cryptocurrency mining, send spam, host malware, or mount denial-of-service or credential-stuffing activity;
- resell the Service or exceed published rate limits deliberately.
We may suspend sandboxes or accounts that threaten the Service’s integrity or other customers, and will tell you why using our typed cause reporting.
5. Your content
You retain all rights to code, data, and artifacts you bring to or produce on the Service (“Your Content”). You grant us only the limited license needed to run, store, and transmit Your Content to operate the Service. We do not use Your Content to train models.
6. Availability and non-preemption
Running sandboxes are not preemptible: we do not evict or migrate a running sandbox out from under you to reclaim capacity. This is an operational commitment, not a uptime guarantee; the Service is provided on an “as available” basis and may have downtime.
7. Disclaimers and liability
The Service is provided “as is” without warranties of any kind to the maximum extent permitted by law. We are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the credits you spent on the Service in the 3 months before the claim.
8. Changes and termination
We may update these Terms; material changes will be posted here with a new date. You may stop using the Service at any time. We may suspend or terminate accounts for breach of these Terms. Unused, unexpired credits remain usable during any wind-down period we provide.
